Acceptable Use Policy

This Acceptable Use Policy ("AUP") governs the use of the CloudFiles platform and services ("Services") provided by CloudFiles Technologies Inc. ("CloudFiles"). This AUP applies to all users of the Services, including account holders, authorized users, and any third parties who access the Services through a customer's account.

This AUP supplements the CloudFiles Terms of Service and any applicable Master Services Agreement. In the event of a conflict, the MSA or ToS (as applicable) governs.

CloudFiles may update this AUP from time to time by posting the revised version on our website. Continued use of the Services after the updated AUP is posted constitutes acceptance of the changes.

1. Prohibited Content

You may not use the Services to store, process, transmit, or distribute any content that:

  • violates any applicable law, regulation, or third-party right, including intellectual property, privacy, or publicity rights;

  • is obscene, defamatory, threatening, harassing, or discriminatory;

  • contains or distributes malware, viruses, ransomware, or other malicious code;

  • constitutes phishing, fraud, or social engineering attacks;

  • contains material subject to export control laws without proper authorization; or

  • infringes any copyright, trademark, trade secret, or other intellectual property right without proper authorization from the rights holder.

2. Prohibited Activities

You may not use the Services to:

  • gain or attempt to gain unauthorized access to the Services, other customer accounts, or any systems or networks connected to the Services;

  • reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services;

  • interfere with or disrupt the integrity, performance, or availability of the Services, including through denial-of-service attacks, packet flooding, or deliberate overloading;

  • circumvent or disable any security, authentication, or access control features of the Services;

  • use the Services for competitive benchmarking, scraping, or building a competing product without CloudFiles' prior written consent;

  • send unsolicited bulk messages (spam) through or using the Services;

  • use the Services in connection with illegal gambling, narcotics trafficking, arms trafficking, terrorism, or the proliferation of weapons of mass destruction;

  • impersonate CloudFiles, its employees, or any other person or entity; or

  • use the Services to facilitate any activity that would violate this AUP if performed directly.

3. Platform and Integration Usage

CloudFiles integrates with third-party platforms including Salesforce, Google Drive, OneDrive, SharePoint, Dropbox, and Box. When using the Services in connection with these platforms, you must:

  • comply with the acceptable use and terms of service of each connected platform;

  • ensure that any data shared between CloudFiles and connected platforms is authorized for such sharing under your agreements with those platforms;

  • not use CloudFiles integrations to circumvent access controls, data governance policies, or usage limits imposed by connected platforms; and

  • not use CloudFiles' Document AI features to process data in violation of applicable privacy laws or the rights of data subjects.

4. Fair Use

The Services are provided on the assumption of typical business usage consistent with your subscription plan. If your usage significantly exceeds what is reasonable for your plan (as determined by CloudFiles), CloudFiles may contact you to discuss upgrading your plan, apply additional charges, or restrict capacity with reasonable notice.

5. Your Responsibilities

You are responsible for:

  • all activity that occurs under your account, whether by you, your authorized users, or any third party who gains access through your account;

  • implementing reasonable security measures to prevent unauthorized access to your account;

  • ensuring that all content stored or processed through the Services complies with this AUP and applicable law; and

  • promptly reporting to CloudFiles any suspected violations of this AUP or unauthorized use of the Services at support@cloudfiles.io.

6. Enforcement

If CloudFiles determines that a violation of this AUP has occurred, CloudFiles may, at its discretion and without liability:

  • issue a warning and request that you remedy the violation;

  • remove or disable access to the offending content;

  • suspend your access to the Services, in whole or in part; or

  • terminate your account.

CloudFiles will use commercially reasonable efforts to provide notice before taking enforcement action, unless immediate action is necessary to protect the Services, other customers, or third parties, or as required by law. No credit or refund will be provided for any period of suspension resulting from a violation of this AUP.

CloudFiles may also be legally required to report certain violations to the relevant authorities.

7. Reporting Violations

If you become aware of any violation of this AUP, please report it to support@cloudfiles.io. CloudFiles will investigate reports in good faith and take appropriate action.
